1. Introduction

These Terms and Conditions (“Terms”) govern access to and use of the EnquiryCRM website, cloud-based customer relationship management platform, applications, subscriptions, integrations and related services (the “Services”). EnquiryCRM (“we”, “our”, or “us”) is the registered legal entity providing the Services. By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you accept on behalf of an organization, you represent that you have authority to bind it. If you do not agree, do not use the Services.

2. Definitions

“Customer” means an individual or organization registering for or purchasing the Services. “User” means a person authorized by a Customer to use its account. “Account” means the Customer workspace. “Customer Data” means leads, contacts, accounts, proposals, quotations, catalogues, tasks, support records, documents and other content uploaded to or managed in the Services. “Subscription Plan” means a free or paid tier with stated entitlements. “Billing Cycle” means the monthly or annual payment period. “Third-Party Services” means external applications and providers linked to the Services.

3. Eligibility and Acceptance

You must be at least 18 years old, or otherwise legally capable of entering into a binding agreement. Organizations must ensure the person registering is authorized. You must supply accurate, complete registration information. EnquiryCRM may refuse registration or restrict access where reasonably necessary for security, compliance or prevention of misuse.

4. Account Registration and Management

Customers must protect login credentials, ensure each user is appropriately authorized, promptly report suspected compromise, and manage user access and permissions. Customers are responsible for activities carried out through authorized accounts except to the extent resulting from EnquiryCRM’s breach. Account administrators may add, suspend or remove users in accordance with the plan.

5. Description of Services

Depending on the subscription and features actually available, EnquiryCRM may include smart lead management, follow-ups and tasks, visual sales pipelines, sales automation and proposals, product/catalogue management, reporting, tickets and support, roles and permissions, and integrations. Features and usage allowances vary by plan. EnquiryCRM may improve or change features for operational, technical, security or business reasons, subject to applicable contractual and legal duties. The Services do not represent a promise to deliver any specific business result.

6. Free Plans and Free Trials

EnquiryCRM may offer free plans and time-limited trials, subject to the limits stated at signup. Trial-only capabilities may end upon expiry. A free plan need not include all features available during a trial. EnquiryCRM may change free-plan allowances with reasonable notice where appropriate and may prevent abuse of repeated promotional registrations. Review the relevant offer at registration.

7. Subscription Plans and Pricing

Plan prices, included users, feature access and billing periods are as displayed on EnquiryCRM’s website, checkout, quotation or order form. Fees may depend on licensed users, additional services, selected billing term and taxes. Promotional rates are governed by their stated conditions. Price changes will be communicated in advance and ordinarily apply from a subsequent renewal unless otherwise agreed.

8. Billing and Payment Terms

Paid plans may be billed monthly or annually. Annual fees are generally payable upfront unless otherwise agreed. Customers must maintain accurate billing details and pay charges when due. Recurring payments require the relevant customer authorization. GST and other applicable taxes are charged according to law. Following failed payments or overdue charges, EnquiryCRM may suspend paid features, subject to appropriate notice and legal requirements.

9. Subscription Renewal

A subscription renews automatically only where the Customer expressly authorizes automatic renewal. Renewal follows the selected billing term unless otherwise stated. Customers may cancel future renewals by an available account process or by contacting support. Unless otherwise agreed, cancellation ends future billing, while paid access continues through the current billing period. An expired or non-renewed account may be downgraded or restricted.

10. Upgrades and Downgrades

Plan upgrades may create additional or prorated charges where stated. Downgrades may reduce functionality, storage, reporting, automation or integrations. A plan downgrade will not ordinarily delete Customer Data immediately solely because a lower limit is exceeded; affected functions may be restricted until usage is reduced or the plan upgraded. Customers should review any proposed plan change.

11. Cancellation and Refund Policy

Customers can request cancellation through available account controls or at info@enquirycrm.com. Unless the applicable order says otherwise, cancellation takes effect at the end of the current paid term. Fees paid for unused portions are generally non-refundable, except as required by applicable law or an express written refund policy or agreement. Where EnquiryCRM materially fails to supply contracted Services, applicable legal and contractual remedies remain available. Approved refunds are ordinarily returned through the original payment method where feasible.

12. Customer Data Ownership

Customers retain their rights in Customer Data and grant EnquiryCRM limited permission to host, process, transmit, display, secure and back up it to provide the Services and fulfill lawful duties. Customers must have the necessary rights and legal grounds for information they upload. EnquiryCRM does not obtain ownership of Customer Data merely through hosting it and will not sell it to third-party advertisers.

13. Data Privacy and Protection

Personal data practices are further described in the EnquiryCRM Privacy Policy at https://enquirycrm.com/privacy-policy. Customers are responsible for privacy notices, lawful grounds and consents relating to personal information they collect and store in their CRM accounts. Where EnquiryCRM acts as a processor on a Customer’s behalf, additional responsibilities may be documented in a data processing agreement. Appropriate safeguards apply to authorized service providers.

14. Data Security and Account Protection

EnquiryCRM will use appropriate technical and organizational measures intended to protect Customer Data, which may include authentication, encrypted communication, access controls, monitoring and backups as implemented. Customers must maintain secure credentials and permissions. No internet service can be guaranteed risk-free. EnquiryCRM will investigate incidents and provide notices where legally required.

15. Acceptable Use Policy

Users may not use EnquiryCRM for unlawful or fraudulent activities; impersonation or harassment; malicious code; unauthorized access; system interference; bypassing security or subscription controls; unlawful spam; uploading content that infringes rights; unauthorized credential sharing; or unlawful copying, reverse engineering or resale of the platform. EnquiryCRM may investigate suspected violations and take proportionate action.

16. Lead Management and Sales Activities

Customers are responsible for the legality and accuracy of their leads, communications and commercial outreach, including compliance with applicable telemarketing, data privacy, consumer protection and messaging rules. EnquiryCRM does not guarantee lead quality, conversions, revenue or prospect responses and is not a party to transactions between Customers and their prospects.

17. Sales Automation and Proposals

The Services may assist with workflow automation, proposals, quotations and approvals. Customers remain responsible for reviewing content, price, tax, delivery and other commercial terms before sending proposals. Automated functions operate according to configured rules and technical availability. EnquiryCRM is not the seller of products or services offered by Customers and does not guarantee proposal acceptance.

18. Third-Party Integrations

Optional integrations may depend on third-party services, subscriptions, permissions, policies and usage charges. Customers must review applicable third-party terms and privacy notices. EnquiryCRM is not responsible for failures caused solely by external providers outside its reasonable control. Integrations may change or become unavailable if providers change their services or access rules.

19. Intellectual Property Rights

EnquiryCRM and its licensors retain rights in the software, brand, documentation, interface designs, source code and other proprietary material. Subject to the Terms and applicable fees, Customers receive a limited, non-exclusive, non-transferable right to access and use the Services during the relevant subscription. No ownership of the software is transferred. Customer ownership of Customer Data is preserved.

20. Confidentiality

Each party must use reasonable safeguards to protect the other party’s confidential information and use it only for the relevant business relationship. Disclosures are permitted to authorized staff, advisers and providers bound by appropriate duties, or where legally required. Confidentiality obligations do not apply to information lawfully public, previously known or independently developed without using the confidential information.

21. Service Availability and Maintenance

EnquiryCRM will use commercially reasonable efforts to keep Services available. Interruptions may result from maintenance, upgrades, infrastructure issues, security events or circumstances outside reasonable control. Advance notice of material planned maintenance may be provided where practical. No particular uptime percentage is guaranteed absent a separate written service level agreement.

22. Technical Support

Support may be provided via email, documentation or other announced channels. Availability and response targets may vary by plan; specific response or resolution times are not guaranteed without a written commitment. Users should supply relevant issue details to assist troubleshooting. Support email: info@enquirycrm.com.

23. Suspension of Services

EnquiryCRM may suspend or restrict Services for a material breach, overdue payments, suspected fraud, unlawful activity, serious security threats, abuse of resources or legal requirements. Reasonable notice and an opportunity to resolve the issue will be given where practical; urgent action may be necessary to protect users and infrastructure. Suspension does not extinguish accrued payment obligations.

24. Termination of Services

Customers may terminate under the cancellation rules. EnquiryCRM may terminate for material breach following reasonable notice and an opportunity to remedy where appropriate; serious fraud, unlawful conduct or immediate security risk may justify termination without prior notice. Access rights end on termination, while fees accrued and provisions intended to survive, including confidentiality, IP, liability and dispute clauses, remain applicable.

25. Data Export and Deletion After Termination

Customers should export needed records before expiration or termination. Any post-termination export period depends on available capabilities and the applicable agreement. Thereafter data may be deleted or anonymized under documented retention procedures, subject to backups, legal retention, security and accounting requirements. Deletion requests may be sent to info@enquirycrm.com and are considered under applicable law and the Privacy Policy.

26. Disclaimer of Warranties

EnquiryCRM uses commercially reasonable care and skill in supplying Services. Except for express commitments or non-excludable statutory warranties, the Services are provided as available. No guarantee is made that access will be uninterrupted or error-free, that every third-party integration will remain compatible, or that particular revenue or sales outcomes will result. Non-excludable legal rights remain unaffected.

27. Limitation of Liability

To the maximum extent permitted by applicable law, neither party is liable for indirect, incidental, special or consequential losses, including lost profits or business opportunities, except where such exclusion is prohibited. Subject to non-excludable liability and separately agreed terms, EnquiryCRM’s aggregate liability arising from Services is limited to fees actually paid by the affected Customer in the 12 months preceding the event giving rise to the claim. This does not restrict Customer fees already due or liability that cannot legally be limited.

28. Indemnification

To the extent permitted by law, Customers will indemnify EnquiryCRM against third-party claims and reasonable costs arising from their unlawful use, infringement of others’ rights or material violation of these Terms, to the extent caused by Customer conduct. EnquiryCRM will give reasonable notice and appropriate opportunity for Customer participation and will not impose settlement obligations on a Customer without authorization. This provision does not excuse EnquiryCRM’s own breaches.

29. Force Majeure

Neither party is liable for delay or failure, except for payment obligations already due, caused by circumstances beyond reasonable control, such as natural disasters, conflict, government actions or major infrastructure disruptions. The affected party must reasonably mitigate the impact and resume performance. Extended disruption may give either party the remedies provided under the relevant agreement and law.

30. Changes to Services and Terms

EnquiryCRM may revise these Terms for changes in law, services, security or operations. Material changes will be communicated by appropriate channels, and consent or acceptance sought where legally required. Changes do not retrospectively remove accrued legal rights. Users who disagree may discontinue use and cancel future renewals under these Terms.

31. Governing Law and Jurisdiction

These Terms are governed by Indian law. Parties will first seek to resolve disputes amicably through good-faith discussion. Subject to mandatory statutory rights and jurisdiction, competent courts in Delhi, India have jurisdiction over disputes arising under these Terms.

32. General Provisions

These Terms, the Privacy Policy and applicable signed order forms or expressly incorporated agreements form the agreement governing Services. If a provision is unenforceable, the remainder continues insofar as lawful. Failure to enforce is not a waiver. Customers may not assign their rights without EnquiryCRM’s prior written consent except as law or contract permits. The parties are independent contractors. Notices may be provided by registered email or account messages or other agreed means.
